Bird Dog JV Agreement

RV Park & Mobile Home Park Acquisition

1. The Parties

This Bird Dog Joint Venture Agreement (the "Agreement") is entered into as of the date last signed, by and between the Bird Dog submitting a deal through The RV Park Blueprint and The RV Park Blueprint / Lance Riggen (the "Buyer"). Collectively referred to herein as the "Parties."

2. Purpose

The purpose of this Agreement is to define the terms under which the Bird Dog will source, identify, and facilitate potential RV Park or Mobile Home Park acquisition opportunities on behalf of the Buyer, and to establish the compensation and obligations of both Parties in connection with any resulting transaction.

3. Property Identification

Upon identifying a potential acquisition target, the Bird Dog shall submit the property to the Buyer in writing, including at minimum:

  • Property name and address
  • Owner or seller contact information
  • Known asking price or price range
  • Basic site description (pad count, acreage, utilities, occupancy if known)
  • Source of the lead and how contact was established

Submission of the above information constitutes a formal lead submission under this Agreement. The Buyer shall acknowledge receipt in writing within a reasonable number of business days.

4. Bird Dog Obligations

The Bird Dog agrees that sourcing and submitting a lead alone does not constitute fulfillment of duties under this Agreement. The Bird Dog shall actively participate in the facilitation of the transaction to the best of their ability, including but not limited to:

  • Maintaining the seller relationship throughout the acquisition process
  • Assisting in scheduling and, where appropriate, attending property tours or site visits
  • Gathering and relaying available financial documents, rent rolls, and seller disclosures
  • Serving as a communication liaison between the Buyer and Seller as needed
  • Supporting due diligence coordination as reasonably requested by the Buyer
  • Providing timely updates and follow-up with the seller during the offer and negotiation phase

The Bird Dog shall conduct all activities in a professional manner consistent with applicable real estate laws and regulations in their state of operation.

5. Buyer Obligations

The Buyer agrees to perform to the best of their ability in connection with any lead submitted under this Agreement, including:

  • Reviewing and responding to submitted leads in good faith and within a reasonable timeframe
  • Communicating the status of any submitted lead — accepted, passed, or under review — to the Bird Dog in writing
  • Keeping the Bird Dog reasonably informed of material developments during the acquisition process
  • Not circumventing the Bird Dog by contacting the seller directly in a manner intended to exclude the Bird Dog from the transaction after a lead has been accepted
  • Honoring the compensation terms set forth in Section 6 upon successful closing of a transaction originating from a Bird Dog submitted lead

The Buyer is not obligated to pursue any submitted lead and retains full discretion to pass on any opportunity. No compensation is owed on leads that do not result in a closed transaction.

6. Compensation

In consideration for the Bird Dog's sourcing and facilitation services, the Buyer agrees to pay the Bird Dog a flat referral fee as mutually agreed upon at the time of lead submission and confirmed in writing by both Parties.

No compensation shall be earned or owed if the transaction does not close for any reason, including but not limited to buyer withdrawal, seller default, failed due diligence, or financing contingencies.

7. Term & Lead Protection

This Agreement shall remain in effect for a period of twelve (12) months from the date of execution, unless terminated earlier by mutual written agreement of the Parties.

If a lead is submitted by the Bird Dog during the term of this Agreement and a transaction on that property closes within twelve (12) months of the lead submission date, the Bird Dog shall be entitled to the compensation set forth in Section 6, regardless of whether this Agreement has otherwise expired.

Lead protection is property-specific. The Bird Dog must have been the first to submit the specific property to the Buyer in writing to be eligible for compensation on that property.

8. Non-Circumvention

The Buyer agrees not to circumvent the Bird Dog by directly contacting or negotiating with any seller introduced by the Bird Dog in a manner intended to exclude the Bird Dog from compensation under this Agreement. This obligation survives the expiration or termination of this Agreement for a period of twelve (12) months with respect to any property submitted during the term.

9. Confidentiality

Both Parties agree to keep the terms of this Agreement and any non-public information shared in connection with submitted leads confidential. Neither Party shall disclose seller contact information, deal terms, or financial details to any third party without the written consent of the other Party, except as required by law.

10. Independent Contractor

The Bird Dog is an independent contractor and not an employee, agent, or partner of the Buyer. Nothing in this Agreement shall be construed to create an employment relationship, partnership, or joint venture beyond the scope of this specific transaction arrangement. The Bird Dog is solely responsible for any applicable taxes on compensation received under this Agreement.

11. Compliance with State Law

The Parties acknowledge that bird dog activities may be subject to state-specific real estate licensing requirements. The Bird Dog represents that they are operating in compliance with all applicable laws and regulations in their state. The Buyer makes no representation regarding the legality of bird dog arrangements in any particular state and encourages the Bird Dog to seek independent legal counsel if uncertain.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Texas. Any dispute arising under this Agreement shall first be submitted to good-faith mediation before either Party may pursue legal action. The prevailing Party in any legal proceeding shall be entitled to recover reasonable attorney's fees.

13. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior discussions, representations, or agreements, whether written or oral. This Agreement may only be amended by a written instrument signed by both Parties.
